Terms of Service

1. Company
These Terms of Service govern the use of services provided by Verdaia Brand LLC, a limited liability company registered in the State of Wyoming, with its principal place of business at 312 W 2nd St, Casper, WY 82601. Contact: hello@verdaia-brand.com.
2. Services
Verdaia Brand provides paid media acquisition and lifecycle email marketing services for direct-to-consumer (D2C) brands. Specific deliverables, fees, reporting cadence and performance targets are defined in a separate Statement of Work or Service Agreement executed by both parties.
3. Client obligations
Clients must provide timely access to advertising accounts, analytics platforms, store data and creative assets necessary for campaign execution. Clients are responsible for the accuracy of product claims, landing pages, checkout flows and compliance with applicable advertising policies.
4. Fees and payment
Fees are set out in the applicable Statement of Work. Invoices are issued monthly unless otherwise agreed. Payment terms are net 15 days from the invoice date. Late payments may incur interest at the lesser of 1.5% per month or the maximum rate permitted by law.
5. Limitation of liability
Verdaia Brand's total liability arising out of or relating to our services shall not exceed the total amount paid by the client to Verdaia Brand in the twelve (12) months preceding the event giving rise to liability. We do not guarantee specific revenue, conversion rates or return on ad spend.
6. Termination
Either party may terminate the engagement with thirty (30) days' written notice. Upon termination, the client remains responsible for all fees incurred through the effective termination date.
7. Governing law
These terms are governed by the laws of the State of California, without regard to conflict of law principles. Disputes shall be resolved in the state or federal courts located in San Francisco County, California.
8. Changes
We may update these Terms of Service from time to time. The latest version will be posted on this page with the updated effective date.
